2. ROLE of the BOARD of DIRECTORS (BOD)

According to our Constitution, the role of the Board of Directors is to manage and direct the affairs of the Electoral District Association (EDA) to meet the following objectives:

  1. To support and promote the principles, objectives and policies of the Conservative Party of Canada (CPC), and to maintain an effective Association for that purpose;
  2. To select a candidate to represent the CPC in the Association for each federal election and by-election;
  3. To encourage the participation and recruitment of youth;
  4. To assist and promote the election of the Candidate of the CPC in the Association for each federal election and by-election;
  5. To raise money and maintain a fund to support the Association and to assist candidates in Federal elections and by-elections;
  6. To actively identify potential supporters;
  7. To recruit members to carry out the objectives of the CPC and the Association; and
  8. To comply with the obligations, and benefit from the rights and privileges of being an Association of the CPC.
Despite these straightforward objectives, the effort required is significant -- especially since it is performed by volunteers. Recognizing that the Board of Directors is the core group of volunteers in the Association, the Constitution allows a large number of directors. But, numbers alone will not guarantee success. The Board must also organize itself and the tasks to be completed so that it can work effectively as a team to achieve the Association’s objectives.



3. STRUCTURE and COMPOSITION of the BOARD

At each Annual General Meeting of the Constituency Association, a Board of up to 30 Directors can be elected, (or re-elected), from the membership. Once established, the 30 Directors may elect, (at their discretion), three more members to the Board. Fully constituted, the Board is comprised of the Directors and the elected Member of Parliament, (or the Candidate for this position).

The day-to-day affairs of the Association are managed and directed by an Executive Committee, comprised of the President, Vice-President(s), Secretary, Treasurer and not more than three additional members of the Board of Directors. These Officers can be elected by either the Board of Directors or directly by the membership at the AGM.

In the interest of efficiency, PEH normally restricts the size of its Board from 15 to 24 members. Each of these people, (supported by working committees composed of both Board and non-Board members), - has a different primary responsibility, (see below).

Currently, (June, 2009), our Board consists of fourteen members, (including our MP, Daryl Kramp), five of these have been elected by the Board to serve as Executive Officers, (President, 1st Vice President, Policy V.P., Secretary, and Treasurer).



4. RESPONSIBILITIES of the BOARD

For each of the major areas of responsibility, (Communications, District Coordination, Events, Fundraising, Information Management, Membership and Policy), job descriptions have been developed and are available below.

It must be noted that while each job description describes the primary role of one person, many jobs require the assistance of the entire Board. Every Board member is expected to participate in labour-intensive activities. The bottom line is that, when it comes to time commitment, monthly attendance at a two hour Board meeting is only the “tip of the iceberg”.

5. CANDIDACY for a DIRECTORSHIP

If you are interested in putting your name forward as a candidate for the Board, you are reminded of the following:
  1. You must have been a member in good standing of the Conservative Party for at least 21 days prior to the AGM.
  2. Ensure that you have enough free time to discharge the responsibilities for which you volunteer, (at minimum - Every Director will be expected to attend all Board meetings and will be expected to participate on at least one committee or sub-committee on a regular basis.
  3. Since the Riding is geographically extensive, it is strongly suggested that each Director should have access to e-mail for the purpose of information sharing.
  4. Prior to the Board election at the AGM you will be required to sign an official Consent Form indicating your intent to run. (See below)
  5. You may nominate yourself any time up to the start of voting on the day of the AGM.
  6. Proxy nominations are acceptable as long as a signed Consent Form is received by election time.
